IMPORTANT NOTICE

THIS END USER LICENSE AND DATA PARTICIPATION AGREEMENT IS A LEGALLY BINDING CONTRACT BETWEEN YOU AND 2468123 ONTARIO CORP. OPERATING AS MONARCH TECHNOLOGIES. BY CLICKING "I AGREE" YOU ACKNOWLEDGE YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL TERMS HEREIN.

2. Eligibility and Account Registration

To access the Platform you must: (a) be at least 18 years of age; (b) access and use the Platform solely for Professional Use; (c) have legal authority to enter into this Agreement; (d) provide a valid professional or corporate email address. Misrepresentation of professional status constitutes a material breach.

3. License Grant and Restrictions

Subject to your compliance, the Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use Echo for Professional Use only. You expressly agree you will NOT reverse engineer, systematically harvest data for competing products, share account access, use automated scripts beyond provided functionality, or use data for harassment or unsolicited communications prohibited by anti-spam legislation.

7. Privacy and Data Protection

The Company collects and processes personal information in compliance with PIPEDA and applicable provincial privacy legislation. You may request deletion of your personal data by contacting support@monarchaitech.com.

9. Indemnification

You agree to defend, indemnify, and hold harmless the Company from claims arising out of your violation of this Agreement, violation of applicable law, use of the Platform for any purpose other than Professional Use, or infringement of any intellectual property rights.

10. Term and Termination

This Agreement commences on the date you first accept it. The Company may suspend or terminate your access for breach of this Agreement, fraudulent activity, non-payment of fees, or discontinuation of the Platform.

11. Network Data Participation

Echo operates as a shared business intelligence network. By accepting these Terms, you authorize the Platform to access and read email correspondence received in your connected email inbox solely for the purpose of identifying and extracting Business Contact Information contained in email signature blocks. The Platform does NOT access, read, store, or transmit email body content, subject lines, attachments, or any content beyond professional signature block information. You may disable this feature at any time in your account settings.

12. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada.

13. General Provisions

This Agreement constitutes the entire agreement between you and the Company. The Company reserves the right to modify this Agreement at any time.
